Engagement Schedule

Agreement Terms

1. Parties and engagement

Nexus125 HR Partnership Program, LLC (Provider) and the organization identified in the Engagement Schedule (Client) agree to the ECOS services selected in this agreement. The signer represents that they are authorized to act for Client.

2. Scope of services

Services are limited to the selected ECOS employer compliance assessment, readiness, education, implementation or advisory support. Legal representation, tax advice, regulatory filing, insurance placement and services not listed in the Engagement Schedule are excluded unless added in a written amendment signed by both parties.

3. Client responsibilities

Client will provide accurate and timely information, designate an authorized coordinator and review all findings before acting. Client remains responsible for its plans, filings, notices, employment decisions and consultation with legal, tax, accounting or other qualified professionals when appropriate.

4. Fees, schedule and changes

Fees, payment dates, delivery dates and approved expenses are those entered in the Engagement Schedule. Work outside the selected scope, changes in participant count or material schedule changes require written approval. Payment alone does not expand the agreed scope.

5. Information handling

Only information reasonably necessary for the engagement should be submitted. Social Security numbers, medical records, passwords, payment-card information and identity documents must not be sent through general email or this agreement. Contract submissions are routed to secure@nexus125training.com for restricted review.

6. ECOS boundaries

ECOS provides structured compliance-readiness support and educational decision assistance. Results depend on the information supplied and do not guarantee compliance, savings, agency acceptance or a particular outcome. Official plan documents, government guidance and applicable law control.

7. Intellectual property and access

Provider retains ownership of ECOS software, workflows, training and proprietary materials. Access is limited to approved users and the agreed engagement. Client may not copy, resell, sublicense, reverse engineer or distribute the platform or materials without written authorization.

8. Electronic execution

By selecting the electronic-consent checkbox and typing their legal name, the signer intends to sign this agreement electronically. The submission records the Client signature and date for Provider review. The agreement becomes fully executed after Provider countersignature and delivery of the completed copy to Client.
